Biography
Sofia has particular expertise in the asset management sector, regularly advising fund managers and institutional investors on the structuring of fund platforms, management entities, and carried interest arrangements, including UK tax treatment of hybrid entities, treaty access, capital gains tax exposure, and other complicated tax matters.
She is also a trusted advisor to W&I insurers, frequently acting on policy underwriting and defending tax-related claims.
Before joining DAC Beachcroft in April 2025, Sofia was a senior lawyer in the London tax group of an international law firm, advising multinationals on cross-border structuring, including fund structuring, banking, and M&A transactions. Sofia has also spent a significant period in-house at a major US investment bank, where she focused on fund compliance and private wealth management matters. During this time, she gained hands-on experience navigating regulatory and tax issues affecting cross-border investment structures, FATCA and CRS reporting obligations, and the UK tax treatment of offshore trusts and investment vehicles. Her work also included advising on the intersection of fund transparency rules and high-net-worth client planning, giving her a unique commercial perspective that complements her private practice expertise. She holds UK academic qualifications and publishes regularly on UK and international tax matters, including contributions in Greek, and frequently speaks at tax and private equity conferences.
Her recent experience includes:
- Advising a UK target on its acquisition by a private equity sponsor, including complex earn-out structuring and EMI option analysis
- Advising multiple sellers and buyers on UK M&A transactions involving tax negotiations and W&I-backed risk allocation
- Advising a global asset manager on the UK tax treatment of feeder fund structures and performance-linked returns
- Advising real estate investors on the SDLT and VAT implications of a major forward funding transaction
- Advising insurers on high-value W&I claims including PAYE/NIC exposure under IR35 and other tax liabilities
- Advising UK corporates on employee share incentive schemes, CSOP compliance, and post-acquisition option rollovers
- Advising clients facing HMRC enquiries involving transfer pricing and employment status disputes
