Biography
Anne-Marie specialises in public law and corporate governance, with particular expertise in advising boards on defensible decision making, risk and assurance in highly regulated sectors.
With a PhD in corporate governance and a Masters in Public Law, Anne Marie is a trusted advisor on governance and compliance. She is a “go to” for international household names on contentious and non-contentious governance matters.
As an expert on governance Anne-Marie’s work includes advising on complex and sensitive matters relating to anti-corruption (including systems and controls for bribery, sanctions and modern slavery), health sector industry codes (including ABHI and APBI and advertising standards), directors’ duties, mergers and acquisitions (in public and charitable sectors), the setting up of new public bodies, group arrangements (including relationships with subsidiaries and the use of the “in-house exemptions” under the Public Contracts Regulations 2015) regulatory investigations and inquiries.
She is accustomed to working with highly regulated organisations, including those regulated by the Charity Commission, FCA , Regulator of Social Housing and CQC, providing practical advice allowing organisations to operate efficiently within the confines of the regulatory framework.
She works with central government bodies, arm’s length bodies, corporate clients, charities and not-for-profits.
Examples of her recent experience includes:
- advising the pioneering Trinity Challenge the rapid set up of the charity, liaising with the Charities Commission to ensure an expedited review of the application (given the focus on preventing future pandemics), drafted grant agreements, and provided general ad-hoc advice as the ambitious and successful project progressed.
- leading on reorganisations including the conversion of a CIC to a charitable company.
- leading on the defence of a statutory inquiry against a charity for serious safeguarding and governance failures. The inquiry was successfully closed.
- leading two wholesale governance reviews including interviews and a full desktop review, as well as providing assurance. Reviews included an extensive review of terms of reference, risk registers and assurance frameworks and audit reports, alongside general corporate governance concerns.
- co-leading on an investigation into potential bribery at an organisation, including an examination of systems and controls.
- Providing training on compliance, governance and corporate culture, including behaviour and decision making.
Anne-Marie is a member of the Charity Law Association, the DACB Pro Bono Committee and a Mental Health First Aider.
